1. About these terms
These Terms of Service (“Terms”) govern your access to and use of the DigitalPath AI website (digitalpathai.com) and any consulting, development, or implementation services provided by DigitalPath AI Pty Ltd (“DigitalPath AI”, “we”, “us”, or “our”), a company incorporated in New South Wales, Australia.
By using the website or engaging us for services, you agree to these Terms. If you do not agree, do not use the site or engage our services.
2. Services
DigitalPath AI provides AI and data consulting services including but not limited to:
- AI agent and LLM-based system design and implementation
- Data engineering, ETL pipelines, and data platform development
- Custom SaaS and software product development
- Stripe billing, authentication, and infrastructure modules
- Technical strategy and solution architecture
The specific scope, deliverables, timeline, and price of any engagement will be agreed in a separate written Statement of Work or service agreement (“SoW”) signed by both parties. In the event of conflict between these Terms and a signed SoW, the SoW prevails.
3. Quotes and pricing
Prices displayed on this website (e.g. “Starting from $5K AUD”) are indicative starting points only and do not constitute a binding offer. The final price for any engagement is quoted in writing after a discovery call and depends on scope, complexity, and timeline.
4. Payment terms
Unless otherwise agreed in a SoW, invoices are issued in Australian Dollars (AUD) and are payable within fourteen (14) days of the invoice date. Late payments may incur interest at the maximum rate permitted by applicable law.
5. Intellectual property
Unless explicitly assigned to the client in a signed SoW, DigitalPath AI retains ownership of any reusable code, libraries, frameworks, and infrastructure components developed in the course of providing services. The client receives a perpetual, non-exclusive license to use deliverables for their own internal business purposes.
Client confidential information, business data, branding, and domain knowledge remain the property of the client at all times.
6. Confidentiality
We treat all client information shared during a discovery call, proposal, or active engagement as confidential. We do not share client names or project details publicly without written permission. Case studies on this site are anonymised.
7. Warranties and liability
We perform services with reasonable care and skill consistent with industry standards. Beyond the rights granted by the Australian Consumer Law (which cannot be excluded), we make no warranties — express or implied — regarding the website or services.
To the maximum extent permitted by law, our total liability for any claim arising out of or relating to these Terms or any SoW is limited to the fees paid by the client to DigitalPath AI in the six (6) months preceding the claim.
8. Termination
Either party may terminate an engagement in accordance with the terms of the relevant SoW. On termination, the client agrees to pay for all work performed up to the date of termination.
9. Governing law
These Terms are governed by the laws of New South Wales, Australia. Any dispute will be subject to the exclusive jurisdiction of the courts of New South Wales.
